TITLE: Corporate Counsel - Hybrid schedule office/home

POSITION OBJECTIVE: This position exists to assist the General Counsel with corporate tactical and strategic initiatives. The Corporate Counsel will provide support involving: contract review, drafting and negotiation; corporate merger and acquisition activities; legal research and writing; preparation of financing documentation; corporate governance and compliance issues; intellectual property issues; regulatory issues; and pre-litigation and litigation matters.

QUALIFICATIONS:

Education minimum – Bachelor’s degree plus Juris Doctor. Must attend to continuous legal education.
Minimum of 12 years of legal and operational experience in a manufacturing environment
Conceptual understanding of intellectual property law
Solid understanding of Articles 2 and 9 of the Uniform Commercial Code
Familiarity with labor, employment, and immigration law a plus
Exposure to M&A and corporate finance
Admitted, or eligible for admission to the bar in the state of NJ
Strong computer knowledge as well as proficiency in Westlaw, Microsoft Outlook, Windows, and Excel.
Excellent oral and written communication skills
Proven problem solving skills
Ensure consistent, dependable attendance and demonstrate a willingness to accommodate non-standard work hours as necessary.
Capable of effectively managing job-related stress and fostering productive workplace interactions.

JOB RESPONSIBILITIES:

Provides continuing support to the General Counsel on all legal matters affecting the Company.
Performs contract review, interpretation and drafting of various agreements, including but not limited to supply, transportation, employment and real estate contracts, confidentiality agreements, secrecy agreements, settlement agreements and severance agreements.
Interprets and analyzes legislation and major court cases that may have an impact on the Company’s business.
Assists with assessing and advising on appropriate business structures and legal entities.
Works with the General Counsel to oversee the selection, retention, management and evaluation of outside counsel.
Provides support for the Company’s major initiatives including mergers and acquisitions, asset purchases, business or plant expansions, and other critical strategic initiatives.
Assists with litigation filed against or on behalf of the Company including intellectual property matters.
Review, interpret, negotiate and draft a variety of contracts
Analyze and draft legal memoranda regarding legislation and regulations, and court cases affecting the Company’s business
Prepare minutes, and other internal corporate governance documents
Study and understand Inteplast’s products, manufacturing processes, plant operations
Provide proactive legal support to both operational units and support functions

WORK ENVIRONMENT CONDITIONS SUBJECTED TO IN THIS POSITION:

Ability to travel as required – approximately 20%
